【内容】国际投资仲裁正经历危机，相关的改革多聚焦于“公法”忧虑，忽视了“私法”忧虑。“私法”忧虑表现为仲裁庭允许股东提起“间接损失”申诉，这种实践背离了国内私法和国际公法层面不允许股东救济间接损失的传统模式，扭曲甚至取代了“国内公司法”的制度安排。当前国际投资体制处于变革关键期，未来的制度设计应关注这种“私法”忧虑。通过强调国家回归、仲裁庭能动性及股东/公司间的私人安排等，可以在一定程度上缓解这种“私法”忧虑。
